Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OrgMesh membership management platform ("Platform") operated on behalf of the organisation whose membership you have joined ("Organisation"). By accessing or using the Platform you agree to be bound by these Terms.

1. Platform Description

The Platform is a membership management system that enables Organisations to manage member registrations, process membership invoices, coordinate events, publish news, and communicate with members. The Platform is developed, operated, packaged, and commercialised by OrgMesh UK and Green Route Cambodia Enterprise (GRC), together with their authorised rights holders, licensors, successors, and assignees.

2. Account Eligibility and Registration

You may use the Platform only if:

You are at least 18 years of age or have the legal capacity to enter into binding contracts in your jurisdiction.
You have submitted a membership application that has been approved by the Organisation.
You provide accurate, current, and complete information during registration and keep that information up to date.
You have not previously been suspended or removed from the Platform for violation of these Terms.

3. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify the Organisation immediately if you suspect any unauthorised use of your account. The Organisation, OrgMesh UK, Green Route Cambodia Enterprise (GRC), and their authorised rights holders are not liable for any loss arising from unauthorised use of your account where that use results from your failure to keep credentials secure.

4. Acceptable Use

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
Scrape, crawl, or systematically download data from the Platform without written authorisation.
Reverse engineer, decompile, or attempt to derive the source code of the Platform.
Upload or transmit any malicious code, malware, or content designed to disrupt, damage, or gain unauthorised access to systems.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Use the Platform to send unsolicited commercial communications.
Interfere with or disrupt the integrity or performance of the Platform.
Attempt to gain access to systems or data beyond your authorised scope.

5. Member Data Accuracy

You are responsible for the accuracy and completeness of your profile data, business information, and any documents you submit. The Organisation relies on this information to deliver membership services. Providing false or misleading information may result in suspension or termination of your account.

6. Payment and Membership Fees

Membership fees are set by the Organisation and subject to change with reasonable notice. Invoices are due on the date specified. Late payment may result in suspension of Platform access. The Organisation's refund policy applies to all membership payments. Disputed charges must be raised with the Organisation within 30 days of the invoice date.

7. Intellectual Property, Ownership, and Commercial Rights

The Platform software, source code, object code, database structure, workflows, interface design, architecture, documentation, templates, automations, deployment methods, brand systems, trade secrets, and all accompanying materials are proprietary intellectual property owned or controlled by OrgMesh UK and Green Route Cambodia Enterprise (GRC), together with their authorised rights holders, licensors, successors, and assignees.

OrgMesh UK and GRC retain the right to use, adapt, package, host, license, white-label, commercialise, sell, transfer, and otherwise exploit the Platform and related know-how for other organisations, sectors, chambers, associations, and commercial clients. No rights in the Platform software are transferred to you or to the Organisation except the limited access rights expressly granted for authorised use of the deployed service.

Your member data and content you upload remain your property or the property of the relevant Organisation, as applicable. You grant the Organisation and the Platform operators a limited licence to process that data only as needed to deliver membership, event, billing, support, compliance, and administrative services.

Content published by the Organisation, such as news articles, event listings, committee information, uploaded documents, logos, and member materials, remains the responsibility and intellectual property of the Organisation or the applicable content owner and may not be reproduced without permission.

8. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform you consent to the collection and use of your information as described in the Privacy Policy.

9. Suspension and Termination

The Organisation may suspend or terminate your access to the Platform at any time for violation of these Terms, non-payment of fees, or for any other reason at the Organisation's discretion. Upon termination, your right to access the Platform ceases immediately. Your data will be retained in accordance with our data retention schedule and deleted thereafter.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE ORGANISATION, ORGMESH UK, GREEN ROUTE CAMBODIA ENTERPRISE, AND THEIR AUTHORISED RIGHTS HOLDERS DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER THE ORGANISATION, ORGMESH UK, GREEN ROUTE CAMBODIA ENTERPRISE, NOR THEIR AUTHORISED RIGHTS HOLDERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR MEMBERSHIP IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email to the address registered on your account at least 30 days before the changes take effect. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Phnom Penh, Cambodia, under applicable arbitration rules.
